Offer and Agreement

A consumer is any natural person who concludes a legal transaction for purposes that cannot be primarily attributed to his or her commercial or self-employed activity. An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts as a result of his or her commercial or self-employed activity.

These general terms and conditions also apply to future business relations with the entrepreneur, without us having to mention them again. If the entrepreneur applies conflicting or supplementary general terms and conditions of business, their validity is hereby objected to; they only become an integral part of the contract if we have expressly agreed to them.

For all orders placed by consumers and entrepreneurs via our online shop, the following terms and conditions apply.

Contracting Party, Conclusion of Contract

The sales contract is concluded with VOOHU

By placing an order on our website, we make a binding offer to conclude the contract for these articles. You can add any VOOHU products into the shopping cart without obligation. The contract is concluded by clicking “proceed to secure payment” in checkout page. It means you accept the offer of the goods contained in the shopping cart immediately after submitting the order, you will receive a confirmation email.

You can correct the order information when orders haven’t entered the dispatch process by informing your account manager in advance in written notice. But orders containing customized items or in other special conditions cannot be changed or canceled once they enter “processing” status.

Payment Terms

The contract of sale is concluded by VOOHU.

In addition to the price of the product indicated, you will also be charged for shipping costs and you will be responsible for any customs duties or import fees that may arise.

We accept the following payment methods.

VOOHU INC reserves the right to cancel any order that is confirmed to be a security issue without prior notice.

Bank Transfer

We accept payments from you via wire transfer to the bank account specified by VOOHU. Please find the bank account information on the checkout page.

Typically, funds will be received within 1-3 business days. Until then, your order will be in pending status. If you need the product urgently, you can choose other payment methods, such as credit card.

Please note: All fees charged by the bank for bank transfers should be paid by the buyer. Otherwise, the fees will be deducted from the payment we receive. When processing the payment, please note your invoice number. Alternatively, please send the wire transfer payment advice with the date and invoice number by e-mail to song.lei@wohu-tek.com or call +86-400 1048 018.

Terms of Delivery

VOOHU offers shipping options including FedEx, please proceed to the Shipping & Delivery page to know more about our shipping policy.

The delivery of goods will be delivered to the address provided by the consumer/buyer, and any date of delivery given by the seller (沃胡) is only an estimate. All additional fee for changing shipping address or shipping method should be borne by the customer.

Damaged goods during transportation should be notified by the buyer to the seller. And if any delay is caused by the logistics company, please inform your account manager at the first moment. We may guide you about the remedy procedures.

Warranty and Guarantees Claims

Information about any applicable additional warranties and their exact conditions can be found on the product and on the special information pages of our website.

VOOHU’s warranty covers all defects in products manufactured by VOOHU. The warranty only covers original and unmodified items and does not cover damage caused by improper use of said items.

Damaged items should be returned within 30 days for evaluation. If the item is defective and within the warranty period, VOOHU will cover the shipping costs. Our warranty page covers more information on this topic.

Liability

The contents of the VOOHU website were created to the best of our ability and were checked at the time of writing. VOOHU asks you to understand that, despite this, they cannot guarantee the functionality, currency, correctness, completeness or quality of the information (our own as well as other authors).

VOOHU shall be liable to the company and its agents (without agreement on the amount of damages) in the event of a breach of essential contractual obligations or common business practices. In this case, liability shall be limited to typical, foreseeable damages. No liability shall be assumed for damages resulting from loss of expected profits or claims of third parties against the ordering party.

Apart from the delivery obligations, VOOHU shall not be liable for slight negligence of its agents.

VOOHU’s liability for its own wilful and grossly negligent acts and the acts of its agents and under product liability law remain unaffected by the above limitations of liability. Liability for slight negligence shall be excluded.

In the case of slight negligence, VOOHU employees acting as agents of VOOHU vis-à-vis the ordering party shall not be personally liable to the ordering party.

The liability of VOOHU and its legal representatives and agents for damages resulting from breach of duty for infringement of life, body or health remains unaffected.

Intellectual Property and Confidentiality

If third parties bring claims against the Ordering Party for infringement of industrial property rights, copyrights of the supplied products, the Ordering Party is obliged to notify them immediately. VOOHU shall be entitled, if applicable, to conduct, with the support of the Ordering Party and at its own expense, all settlement negotiations or any legal proceedings arising therefrom.

If the supplied products are manufactured according to the designs or instructions of the Ordering Party, the Ordering Party shall indemnify VOOHU from all claims, liabilities, burdens and expenses brought by third parties for infringement of patents, trademarks or samples. A reasonable advance payment of the costs of any legal proceedings shall be provided to VOOHU.

VOOHU is obliged to use all company secrets and information that can be classified as confidential that it obtains during the contractual relationship only for the execution of this contract. The parties shall keep confidential all documents and information received during the performance of the contract, as long as these documents and information have not yet become generally known.

These obligations shall survive the end of the contract and shall also be imposed on third parties in case the transfer of documents and information to third parties is permitted.

Contract language, Storage of Contract Text

The contract may be concluded in English.

We will store the contract text and send you the order data by e-mail. You can also view the detailed order history in “我的账户” after logging into your account.

Reservations of Title

Each item delivered remains the property of VOOHU until full payment has been made. For businesses, the following also applies.

We retain title to the goods until all claims arising from the ongoing business relationship have been settled in full. You may resell the reserved goods in the normal course of business. All claims arising from this resale shall be assigned to us in advance – regardless of any combination or mixture of the reserved goods with new items – in relation to the original invoice amount, and we accept this assignment. You remain entitled to collect claims, but we may also collect them ourselves if you default on your payment obligations.

Export and Import Licenses

The products and technical know-how supplied by VOOHU are intended for use in and remain in the country of delivery agreed with the Ordering Party. The re-export of the Contract Products (either individually or integrated in the System) may require a license from the Ordering Party and shall be subject to the trade regulations of the relevant country of delivery agreed with the Customer. Regardless of whether the Ordering Party specifies the final destination of the Contract Products supplied, the Ordering Party shall be responsible for obtaining any necessary licenses from the relevant foreign trade authorities prior to exporting such products.

Further deliveries of the Contract Products by the Ordering Party to third parties, with or without the knowledge of VOOHU, are subject to the transfer of export license conditions. The Ordering Party shall be responsible for the proper compliance of these conditions by VOOHU.
